These Terms of Use, in conjunction with any Official Contest Rules, as may be applicable, govern your conduct associated with the RosettaStories.com service (the "Stories Service") offered by Rosetta Stone Ltd.. To the extent of any conflict between Rosetta Stones Privacy Policy and these Terms of Use, these Terms of Use shall control with respect to the Stories Service. If you do not agree to these Terms of Use and the related policies and rules referenced in these Terms of Use, please do not use this Site.

By submitting any content ("Materials") to the RosettaStories.com site, you represent and warrant that:

• you are the sole creator and owner of the intellectual property rights in the Materials, and/or that you own or have the necessary licenses, rights, consents and permissions to use and authorize us to use all patent, trademark, trade secret, copyright, or other proprietary rights in and to any and all of your entries of content, to enable inclusion and use of your entries and content in the manner contemplated on the RosettaStories.com site and in these Terms of Use;
• you will identify the portions and source of any contents of any Materials that may be copyrighted or used under license, and will render all reasonable assistance, at Rosetta Stones expense, to perfect such rights in Rosetta Stones ownership as Rosetta Stone may direct;
• all "moral rights" that you or any third party may have in such Materials have been fully and voluntarily waived;
• all Materials are accurate;
• you are at least 18 years old;
• use of the Materials you supply does not violate these Terms of Use and will not cause injury to any person or entity;
• the Materials do not contain information considered by your place of business or any other third party to be proprietary or confidential.

You further agree and warrant that you shall not submit any Materials:

• that are known by you to be false, inaccurate or misleading;
• that infringe any third partys copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
• that violate any law, statute, ordinance or regulation (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising);
• that are, or may reasonably be considered to be, defamatory, libelous, hateful, racially or religiously biased or offensive, unlawfully threatening or unlawfully harassing to or violative of the rights of any individual, partnership or corporation;
• for which you were compensated or granted any consideration by any third party;
• that include any information that references other websites, addresses, email addresses, contact information or phone numbers;
• that feature or refer to any products other than Rosetta Stone® brand products; or feature or reference any other third party trademarks or logos;
• that contain any computer viruses, worms or other potentially damaging computer programs or files.

By submitting Materials to the RosettaStories.com site, you grant Rosetta Stone the irrevocable and unrestricted right to use, and to authorize or license third parties to use, any Materials that you submit, including portions or elements thereof, in any and all manner and media and for any and all purposes world-wide without any obligation or compensation to you of any kind. You grant Rosetta Stone the right at any time to create derivative works from any or all of the Materials ("Derivative Works"), and that such Derivative Works shall be the sole and exclusive property of Rosetta Stone. You disclaim all rights, title or interests you may have in such Derivative Works, and fully assign, convey and transfer any and all rights that you have or may have in the Derivative Works exclusively to Rosetta Stone.

You agree to indemnify and hold Rosetta Stone (and its officers, directors, agents, subsidiaries, joint ventures, employees and third-party service providers, including but not limited to Bazaarvoice, Inc.), harmless from all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown including reasonable attorneys fees, arising out of a breach of your representations and warranties set forth above, or your violation of any law or the rights of a third party.

You fully release Rosetta Stone from any and all claims that may arise regarding your participation in the Stories Service and/or the use of the Materials, including without limitation, claims of defamation, invasion of privacy, or infringement or misappropriation of moral rights, rights of publicity or copyright.

You understand and agree that any Materials that you submit may be used at Rosetta Stones sole discretion. Rosetta Stone reserves the right to change, condense or delete any content on Rosetta Stones website(s), including RosettaStories.com, that Rosetta Stone deems, in its sole discretion, to violate any provision of these Terms of Use, the Privacy Policy, or any Official Contest Rules (as applicable), or for any other reason. Rosetta Stone does not guarantee that you will have any recourse through Rosetta Stone to edit or delete any content you have submitted. Rosetta Stone reserves the right to remove or to refuse to post any submission for any reason. You acknowledge that you, not Rosetta Stone, are responsible for the contents of your submission(s). None of the content that you submit shall be subject to any obligation of confidentiality on the part of Rosetta Stone, its agents, subsidiaries, affiliates, partners or third party service providers and their respective directors, officers and employees.

You understand and agree that these Terms of Use, together with Privacy Policy and any applicable Official Contest Rules, constitute the entire agreement and understanding between you and Rosetta Stone with respect to your submission. If any provision of these Terms of Use, Privacy Policy and/or any applicable Official Contest Rules, is held by a court of competent jurisdiction to be invalid or unenforceable, then these Terms of Use, the Privacy Policy and/or any applicable Official Contest Rules, including all of the remaining terms, will remain in full force and effect as if such invalid or unenforceable term had never been included.

By submitting your email address in connection with your story, you agree that Rosetta Stone and its third party service providers may use your email address to contact you about the status of your story and other administrative purposes.
